Terms of Service
Last updated September 9, 2026
Agreement
These Terms of Service (“Terms”) govern access to Phasal, including the marketing site, workspace applications, customer portal, and related APIs. By creating an account, joining a workspace, or using the service, you agree to these Terms.
If you are using Phasal on behalf of an organization, you represent that you have authority to bind that organization. “You” means you and that organization.
The service
Phasal is software for engineering and operations teams: work items, helpdesk, releases, tests, and optional AI assistance. Features, plans, and limits are described on the pricing page and in the product. We may change, suspend, or discontinue features with reasonable notice when practical.
Beta or preview features are provided as-is and may change or be withdrawn.
Accounts and workspaces
You must provide a valid email address and keep your account information accurate. Magic-link emails and optional OAuth sign-in are how we authenticate you. You are responsible for activity under your account and for keeping access to that inbox secure.
Each workspace is a separate tenant. Workspace admins control members, roles, invite-only settings, and integrations. Super administrators of the Phasal platform may create, disable, or delete workspaces as needed to operate or secure the service.
Public registration of new workspaces may be enabled or disabled by Phasal at any time. If registration is closed, you may still sign in to workspaces you already belong to.
Acceptable use
You may not:
- Break the law, infringe others’ rights, or upload malware.
- Probe, scan, or reverse engineer the service except as allowed by law.
- Attempt to access another workspace’s data or bypass authentication or plan limits.
- Use Phasal to send spam or unsolicited bulk email through our mail features.
- Resell the service or use it to operate a competing platform except with our written consent.
Your content and AI
You retain ownership of content you submit. You grant Phasal a limited license to host, process, display, and transmit that content solely to provide the service, including backups and integrations you enable.
If you enable AI features, content you send to those features may be processed by third-party model providers using keys you supply (BYOK) or keys we operate for default models. You are responsible for ensuring that use is allowed under your contracts and applicable law. We do not claim ownership of model outputs; you should review them before relying on them. AI output can be wrong.
Third-party services
Optional connections — GitHub, Microsoft 365, SMTP, inbound email, Stripe, and similar — are governed by those providers’ terms. We are not responsible for third-party outages, policy changes, or data handling outside Phasal.
Plans, payment, and taxes
Paid plans are billed in accordance with the pricing shown at checkout or in an order form. Seats and storage limits apply. Fees are non-refundable except where required by law or stated otherwise. You authorize Stripe (or our successor processor) to charge the payment method you provide.
We may suspend a workspace for non-payment after notice. You are responsible for applicable taxes.
Confidentiality and security
Each party will protect the other’s confidential information with reasonable care. Workspace content is confidential to that workspace. You must not share magic links or API keys. We implement commercially reasonable security, including tenant isolation, but cannot guarantee that unauthorized access will never occur.
Availability and support
We aim for high availability but do not warrant uninterrupted service. Scheduled maintenance, force majeure, and upstream provider failures may cause downtime. Support is available at [email protected].
Disclaimers and liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHASAL AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU ARE ON A FREE PLAN).
Indemnity
You will defend and indemnify Phasal against claims arising from your content, your use of the service in violation of these Terms, or your use of third-party integrations and model providers.
Termination
You may stop using Phasal at any time. Workspace admins may request deletion of a workspace. We may suspend or terminate access immediately for breach, risk to the service, or as required by law. Upon termination, your license ends. We may delete content after a retention window unless we are legally required to keep it.
Changes to these Terms
We may update these Terms by posting a new version with a revised date. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the service and ask your admin to export or delete the workspace.
Governing law
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless a mandatory local law says otherwise. Courts in Delaware will have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction.
